Our practice draws on more than twenty years in commercial finance and receivables underwriting, with particular depth in cash flow analysis, revenue quality, and debt structure for main street and lower middle market businesses. Exit Planning
Exit Readiness Assessment
Most owners begin preparing for a sale far later than the business requires. An exit readiness engagement is a structured evaluation of how prepared a company is to withstand buyer scrutiny — conducted ideally twelve to twenty-four months ahead of an intended transition.
We review financial statement quality, normalized earnings, customer and revenue concentration, existing debt and advance obligations, documentation gaps, and the operational dependencies that quietly discount valuations. Particular attention goes to what buyers weight most and owners see least clearly: bank account health, deposit consistency, payment burden, and whether the business runs without its owner.
The deliverable is a written readiness report with a prioritized remediation plan. Owners leave knowing exactly what a buyer will find, what it costs them in valuation terms, and in what order to fix it.

Business Valuation Analysis
An independent, analysis-based opinion of enterprise value for planning purposes. We apply income, market, and asset approaches calibrated to the company's industry and size, and we document the assumptions behind each conclusion so the analysis can be tested rather than taken on faith.
Owners use this work for exit planning, partner buy-ins and buyouts, and internal decision-making. This is a planning analysis — not an appraisal prepared for litigation or tax reporting.

Diligence Support
Analytical support for owners evaluating an acquisition. We examine the target's revenue durability, cash flow consistency, receivables quality, existing debt and advance positions, and working capital requirements, and we deliver a written findings memorandum.
Our underwriting background applies directly here. We read bank activity, deposit patterns, and obligation stacks the way a funder underwrites them — which surfaces the cash flow risks that financial statements are structured to smooth over.
Capital
Capital Structure Consulting
An advisory review of a company's existing debt and financing obligations: cost of capital across positions, payment burden measured against actual cash flow, consolidation and refinancing considerations, and sequencing. Delivered as analysis and written recommendations on a retainer or hourly basis.
Where a client subsequently pursues financing, that is a separate engagement handled through our commercial finance brokerage practice under its own terms.
